Terms of Service

These Terms of Service ("Terms") govern your use of the PriceGate Trading website at pricegatetrading.comand the PriceGate TradingView indicator (collectively, the "Service") operated by PriceGate Trading ("PriceGate," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

PriceGate is a charting and analysis tool for the TradingView platform. It maps structural levels, liquidity, macro time windows, and bias on a price chart. The Service is educational and informational only. PriceGate does not provide signals, trade recommendations, or personalized financial advice.

2. Not Financial Advice

PriceGate Trading is not a registered investment advisor, broker-dealer, financial planner, or commodity trading advisor. Nothing on the Site or produced by the PriceGate indicator constitutes investment, financial, legal, or tax advice. You are solely responsible for evaluating the merits and risks associated with any use of information provided through the Service.

3. Trading Risk

Trading futures, options, foreign exchange, cryptocurrency, and other derivatives carries a substantial risk of loss and is not suitable for every investor. You may lose some or all of your invested capital. Past performance is not indicative of future results. Hypothetical or simulated results have inherent limitations and do not represent actual trading. You should carefully consider whether trading is appropriate for you in light of your circumstances, knowledge, and financial resources.

4. Subscription & Payment

Access to the PriceGate indicator ("PriceGate") is sold as a recurring monthly subscription processed through Whop, our merchant of record. By subscribing, you agree to Whop's Terms of Service in addition to these Terms. Subscription pricing is displayed at checkout and may be changed with prior notice. Your subscription renews automatically each billing cycle until canceled.

Cancellation

You may cancel your subscription at any time through your Whop dashboard. Cancellation takes effect at the end of the current billing cycle. You will continue to have access to PriceGate through the end of the period you paid for.

5. Access & License

Subject to your compliance with these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the PriceGate indicator on your personal TradingView account for your own trading and educational purposes.

You may not:

• Share, sublicense, resell, distribute, or publicly disclose the PriceGate indicator, its source code, or its proprietary logic.
• Reverse engineer, decompile, or attempt to extract the underlying algorithms of the indicator.
• Use the Service in connection with any unlawful, fraudulent, or abusive activity.
• Use automated systems (bots, scrapers, etc.) to access the Service in a manner that interferes with its operation.

6. Intellectual Property

All content on the Site and within the PriceGate indicator — including text, graphics, design, code, logos, frameworks (including the PGT framework), trade names, and methodologies — is owned by PriceGate Trading or its licensors and is protected by applicable intellectual property laws. You receive no rights other than the limited license described in Section 5.

7. User Conduct

You agree to use the Service in compliance with all applicable laws and regulations and to refrain from any conduct that could damage, disable, or impair the Service or interfere with other users' access to it.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, PriceGate Trading disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any analytical output will be accurate, reliable, or profitable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEGATE TRADING AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR TRADING LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. Our total cumulative liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PriceGate Trading and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ends immediately and any provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will continue.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Effective" date above. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed under the laws of the Commonwealth of The Bahamas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the courts of The Bahamas, unless otherwise required by applicable law.
